1. Acceptance of Terms
By accessing or using the SaveOnEstate platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Platform.
SaveOnEstate Inc. ("SaveOnEstate," "we," "us," or "our") is a British Columbia corporation that provides a technology platform to facilitate real estate transactions. We are not a real estate brokerage and do not provide real estate services directly.
2. Platform Description
2.1 Technology Platform
SaveOnEstate operates as a Software-as-a-Service (SaaS) platform that provides:
- Property valuation tools and market analytics
- Transaction management software
- Connection to licensed real estate professionals
- Legal document templates and guidance
- Market insights and data visualization
2.2 Not a Real Estate Brokerage
Important: SaveOnEstate is not a real estate brokerage. We do not:
- Represent buyers or sellers in real estate transactions
- Provide real estate advice or recommendations
- Hold real estate licenses or operate as licensed agents
- Act as intermediaries in property transactions
3. User Accounts and Eligibility
3.1 Account Creation
To use certain features of our Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use
- Accept responsibility for all activities under your account
3.2 Eligibility Requirements
You must be:
- At least 18 years of age
- Legally capable of entering into binding contracts
- Not prohibited from using our services under applicable law
4. Platform Service Fee
4.1 Fee Structure
Our Platform Service Fee is calculated as 50% of the typical total commission cost in British Columbia. This fee is based on the common tiered commission structure (7% on the first $100,000 and 2.5% on the balance, plus applicable taxes).
4.2 Binding Contract Event
The Platform Service Fee becomes due and payable upon the occurrence of the "Binding Contract Event," which occurs when:
- A buyer removes their final subject condition through our Platform
- The purchase agreement becomes firm, binding, and unconditional
- Our system records and confirms this action with a timestamp
4.3 Fee Collection
- The fee is paid by the seller from the proceeds of the sale
- Payment is handled through the standard real estate closing process
- We provide a Closing Instruction Sheet to legal representatives
- No fee is due if the transaction does not reach the Binding Contract Event
5. User Responsibilities
5.1 Compliance with Laws
You agree to:
- Comply with all applicable federal, provincial, and local laws
- Obtain all necessary licenses and permits for your activities
- Respect all property rights and access limitations
- Follow professional standards if you are a licensed professional
5.2 Accurate Information
You are responsible for:
- Providing accurate property information
- Disclosing all material facts about properties
- Updating information as circumstances change
- Ensuring all representations are truthful and complete
5.3 Professional Services
When using our network of professionals, you:
- Are responsible for selecting appropriate service providers
- Must establish direct contractual relationships with chosen professionals
- Remain responsible for all professional service fees
- Should verify credentials and qualifications independently
6. Prohibited Uses
You may not use our Platform to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit harmful, offensive, or illegal content
- Interfere with Platform operations or security
- Attempt to gain unauthorized access to our systems
- Use automated tools to access or scrape our Platform
- Misrepresent your identity or qualifications
- Engage in fraudulent or deceptive practices
7. Intellectual Property
7.1 Platform Content
All content, features, and functionality of our Platform, including but not limited to:
- Software, algorithms, and code
- Text, graphics, logos, and images
- Data compilations and analytics
- User interface and design elements
Are owned by SaveOnEstate and protected by copyright, trademark, and other intellectual property laws.
7.2 User Content
You retain ownership of content you submit to our Platform but grant us a license to use, modify, and display such content as necessary to provide our services.
7.3 Feedback
Any feedback, suggestions, or improvements you provide may be used by us without compensation or attribution.
8. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Key privacy commitments:
- We comply with applicable privacy laws including PIPEDA
- We use industry-standard security measures
- We do not sell your personal information
- You have rights regarding your personal data
9. Third-Party Services
9.1 Professional Network
Our Platform connects you with third-party professionals including:
- Lawyers and notaries
- Home inspectors
- Appraisers
- Mortgage brokers
- Insurance agents
9.2 Third-Party Relationships
- You establish direct contractual relationships with these professionals
- We do not guarantee the quality or performance of third-party services
- Professional service fees are separate from our Platform Service Fee
- You are responsible for evaluating and selecting appropriate professionals
10. Disclaimers and Limitations
10.1 Platform Availability
We strive to maintain Platform availability but do not guarantee:
- Uninterrupted or error-free operation
- Compatibility with all devices or browsers
- Availability during maintenance or updates
- Protection against all security threats
10.2 Information Accuracy
While we strive for accuracy, we do not warrant that:
- All Platform information is current or complete
- Market data and analytics are error-free
- Third-party information is accurate or reliable
- Platform tools will meet all your specific needs
10.3 Investment and Legal Advice
Our Platform does not provide:
- Investment advice or recommendations
- Legal advice or representation
- Tax advice or planning services
- Professional real estate services
11. Limitation of Liability
11.1 Liability Limits
To the maximum extent permitted by law, SaveOnEstate's liability is limited to the amount of Platform Service Fees paid by you in the 12 months preceding the claim.
11.2 Excluded Damages
We are not liable for:
- Indirect, incidental, or consequential damages
- Lost profits, revenue, or business opportunities
- Data loss or corruption
- Third-party actions or omissions
- Force majeure events
11.3 User Responsibility
You acknowledge that real estate transactions involve significant financial risk and that you are responsible for:
- Making informed decisions
- Conducting appropriate due diligence
- Seeking professional advice when needed
- Understanding market conditions and risks
12. Indemnification
You agree to indemnify and hold harmless SaveOnEstate, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of applicable laws
- Your real estate transactions
- Content you submit to the Platform
13. Termination
13.1 Termination by You
You may terminate your account at any time by:
- Using account closure features in the Platform
- Contacting our customer support
- Providing written notice of termination
13.2 Termination by Us
We may terminate or suspend your access if you:
- Violate these Terms or our policies
- Engage in fraudulent or illegal activities
- Fail to pay required fees
- Pose a security risk to our Platform
13.3 Effect of Termination
Upon termination:
- Your access to the Platform will cease
- Outstanding fees remain due and payable
- Certain provisions of these Terms survive termination
- We may retain certain information as required by law
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of British Columbia and Canada, without regard to conflict of law principles.
14.2 Jurisdiction
Any disputes arising from these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts of British Columbia.
14.3 Mediation
Before pursuing litigation, parties agree to attempt resolution through mediation conducted by a mutually agreed mediator in Vancouver, British Columbia.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and SaveOnEstate.
15.2 Modifications
We may modify these Terms at any time by posting updated Terms on our Platform. Continued use after modifications constitutes acceptance of the new Terms.
15.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.4 Assignment
You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
15.5 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
